A prospectus for the issue of up to 45,454,545 Shares at an issue price of 22 cents per Share to raise up to $10,000,000 (Offer); and for the issue of 12,000,000 Shares to Nuinsco (or parties nominated by Nuinsco) (Nuinsco Placement).
